These Terms and Conditions apply to each request for a quotation from Prism Linguistics Limited, a company registered in England and Wales with company number 10794705 ("Prism", "Company", "we", "us", "our").
These Terms apply to all services provided after the Client accepts a quotation or booking confirmation. By requesting services or instructing Prism to proceed with work, the Client agrees to be bound by these Terms.

“Company / Prism / We / Us / Our” means Prism Linguistics Limited including any employees, contractors, and approved linguists engaged to perform Services.
“Client” means the individual or organisation requesting or receiving Services from Prism.
“Quote” means a written quotation issued by Prism to the Client.
“Accepted Quote” means a Quote accepted by the Client in writing (including email confirmation), or by the Client providing written instruction to proceed with the Services.
“Contract” means these Terms together with an Accepted Quote and/or booking confirmation.
“Services” means translation, localisation, proofreading, transcription, interpreting, subtitling, certification, formatting, and related linguistic services.
“Source Materials” means documents, audio files, video files, recordings or other content submitted by the Client for translation or interpreting.
“Deliverables” means the final output provided by Prism as a result of the Services.
“Business Day” means any day other than Saturday, Sunday or public holidays in England.
2.1 Each request for Services and submission of Source Materials is subject to these Terms.
2.2 No Contract exists until Prism issues a Quote and the Client accepts that Quote.
2.3 Prism may decline to quote or provide Services where the Source Materials contain content that Prism reasonably considers unlawful, offensive, obscene, or otherwise inappropriate.
2.4 Prism is not obligated to review Source Materials for legality or suitability.
3.1 A Contract is formed when the Client accepts the Quote or booking confirmation in writing.
3.2 Any variation to these Terms must be agreed by Prism in writing.
3.3 These Terms prevail over any Client terms unless Prism expressly agrees otherwise in writing.
4.1 Quotes are based on the information available at the time of quoting, including estimated word count, file format, and complexity.
4.2 Quotes are subject to linguist availability until confirmed.
4.3 If the actual scope differs from what could reasonably be assessed when quoting (for example word count, file format, audio quality, handwriting legibility, or complexity), Prism may issue a revised quotation and amended delivery schedule.
4.4 The Client may accept the revised quotation or cancel the affected portion of the work.
5.1 Prism may offer different service levels including translation, translation with proofreading, certified translation, or localisation services.
5.2 The Client is responsible for selecting the appropriate service level.
5.3 The Client must provide accurate instructions, terminology references, style guides, or background materials where required.
5.4 Prism shall not be responsible for errors arising from inaccurate, unclear, incomplete, or poor-quality Source Materials.
6.1 For interpreting services, Prism will provide written booking confirmation specifying the date, time, location (if applicable), duration, languages involved and charges.
6.2 The Client must review booking details promptly and notify Prism of any errors.
7.1 Prism will use reasonable efforts to deliver Services within the agreed timeframe.
7.2 Delivery times may change if the Client delays providing required information or approvals.
7.3 Prism shall not be liable for delays caused by events outside its reasonable control.
8.1 Each party must keep confidential any non-public information received from the other party.
8.2 Prism may share confidential information with linguists or subcontractors for the purpose of delivering the Services.
8.3 Confidentiality obligations do not apply where disclosure is required by law.
9.1 Prism will endeavour to assign appropriately qualified linguists.
9.2 In rare circumstances where a linguist becomes unavailable due to illness or unforeseen circumstances, Prism will attempt to provide a replacement.
9.3 Prism cannot guarantee replacement availability for rare languages or urgent bookings.
Translation Services
Interpreting Services
If an interpreter attends the assignment and the Client cancels or fails to proceed, the full fee remains payable.
Invoices issued by Prism are payable within 30 days from the invoice date unless otherwise agreed.
Prism reserves the right to request advance payment for new clients or large assignments.

If payment is not received by the due date, Prism Linguistics Limited reserves the right to charge:
The Client shall also be responsible for reasonable costs incurred in recovering overdue amounts, including debt collection and legal costs.
Title to the Deliverables remains with Prism Linguistics Limited until all invoices relating to the Services have been paid in full.
Clients must notify Prism of any alleged translation errors within 30 days of delivery.
Prism will review the request and provide corrections where appropriate.
Refunds, if approved, will be limited to the amount paid for the affected services.
The Client warrants that it owns or has the necessary rights to provide the Source Materials and request the Services.
The Client agrees to indemnify Prism against claims arising from the content of the Source Materials.
The Client retains ownership of intellectual property in the Source Materials.
Ownership of Deliverables transfers to the Client only after full payment has been received.
Ownership of Deliverables transfers to the Client only after full payment of all invoices relating to the Services. Until such payment is received, the Client is granted no licence to use the Deliverables.
Prism retains ownership of internal processes, translation memories, terminology databases and tools used to perform the Services.
The Client shall not directly engage or employ any linguist introduced by Prism for a period of 18 months after completion of the assignment without Prism’s written consent.
Nothing in these Terms excludes liability for death or personal injury caused by negligence or for fraud.
Subject to this, Prism’s total liability under the Contract shall not exceed the total amount paid for the Services concerned.
Prism shall not be liable for indirect or consequential losses, including loss of profits or business interruption.
Prism may suspend or terminate Services where the Client fails to pay invoices or materially breaches these Terms.
Upon termination, all outstanding fees for work performed become immediately payable.
Entire Agreement: These Terms constitute the entire agreement between the parties.
Severability: If any clause is held invalid, the remaining provisions remain in effect.
Independent Contractor: Prism operates as an independent contractor.
Assignment: The Client may not assign its rights without Prism’s written consent.
Notices must be sent in writing to info@prismlinguistics.co.uk.
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
